This web application hereinafter referred to as ‘Advantage MT’ is the intellectual property of Media Plus LLC. All software contained on or used in Advantage MT is the intellectual property of Media Plus LLC Limited hereinafter referred to as The Licensor. All rights reserved.

Your access to and use of Advantage MT is subject to the following terms and conditions and all applicable laws. By accessing and using Advantage MT, you accept the following terms and conditions, without limitation or qualification. IF YOU DO NOT AGREE TO BE BOUND BY THESE TERMS AND CONDITIONS OF USE, YOU MUST NOT USE OR MUST IMMEDIATELY TERMINATE YOUR USE OF Advantage MT.

Registration. Your access to Advantage MT requires your registration for a Username and a Password. On registration, you agree to provide The Provider with accurate, complete registration information. Your registration must be done using your real name and accurate information. It is your responsibility to inform The Provider of any changes to this information by emailing support@mediaplusint.com.

Each registration is for your personal use only. The Provider does not permit (a) any other person using the registered sections under your name; or b) access through a single name being made available to multiple users on a network. You are responsible for preventing such unauthorized use. If you believe there has been unauthorized use, you must notify The Provider immediately by emailing support@mediaplusint.com. You are wholly responsible for any action, request, booking, optioning that is made on Advantage MT using your username and password. You agree that your usage and your computer IP address may be monitored

Limited License; Permitted Uses. By the granting of your Password and Username you are granted a non-exclusive, non-transferable, revocable license (1) to access and use Advantage MT strictly in accordance with these Terms and Conditions of Use; (2) to use information and search results from Advantage MT solely for the purposes intended in granting your level of access and provided that you maintain all copyright and other notices contained therein. For the avoidance of doubt you are strictly prohibited from using your access to plan or undertake any activity that at the sole discretion of The Provider could be deemed to be prejudicial to the business interests of The Provider. You warrant that you will keep your Username and Password confidential and shall not disclose or transfer your Username or Password to any other person or party. You agree not to assign, transfer, or sublicense your rights pursuant to this Agreement.

Restrictions and Prohibitions on Use. Your license to access and use Advantage MT is subject to the following restrictions and prohibitions on use. You may not (1) copy, print (except for the purposes intended in granting your level of access), republish, display, transmit, distribute, sell, rent, lease, loan or otherwise make available in any form or by any means all or any portion of Advantage MT or any information or materials retrieved therefrom; (2) use Advantage MT or any other materials from Advantage MT to develop, or as a component of, an information storage and retrieval system, database, infobase, or similar information resource (in any media now existing or hereafter developed), that is offered for commercial distribution of any kind, including through sale, license, lease, rental, subscription, or any other commercial distribution mechanism; (3) create compilations or derivative works of Advantage MT or any other materials from Advantage MT; (4) use Advantage MT or any other materials from Advantage MT in any manner that may infringe any copyright, intellectual property right, proprietary right, or property right of The Provider or any third parties; (5) remove, change, or obscure any copyright notice or other proprietary notice or terms of use contained in Advantage MT; (6) make any portion of Advantage MT available through any timesharing system, service bureau, the Internet, or any other technology now existing or developed in the future; (7) remove, disable, defeat or change any functionality or appearance of the Advantage MT; (8) decompile, disassemble or reverse engineer any application software or use any network monitoring or discovery software to determine the site architecture; (9) use any automatic or manual process to harvest information from Advantage MT; (10) use Advantage MT for the purpose of gathering information for or transmitting (a) unsolicited commercial email; (b) email that makes use of The Provider’s name or trademarks, including in connection with invalid or forged headers, invalid or nonexistent domain names, or other means of deceptive addressing; and (c) unsolicited telephone calls or facsimile transmissions; (11) use Advantage MT in a manner that violates any law regulating commercial email, facsimile transmissions or telephone solicitations; and (12) export or re-export Advantage MT portion thereof, or any software available on or through Advantage MT, in violation of the export control laws and regulations.

Unless otherwise stated, the contents of Advantage MT including, but not limited to, the text and images contained herein and their arrangement are the property of The Licensor. All trademarks used or referred to in Advantage MT are the property of their respective owners

Intellectual Property Rights. Except for the limited license contained in the paragraph above, nothing contained in Advantage MT shall be construed as conferring by implication, estoppel, or otherwise, any license or right to any process, technology, copyright, patent, trademark or other proprietary interest of The Licensor or any third party. Advantage MT and the content provided in Advantage MT, including, but not limited to, graphic images, audio, video, programming code, source code, html code, Active X controls, buttons, and text, is the property of The Licensor and may not be copied, reproduced, republished, uploaded, posted, transmitted, or distributed in any way, without the prior written consent of The Licensor, except that you may use Advantage MT only for the purpose and extent intended by your Access Rights provided that you do not modify the material in any way and you keep intact all copyright, trademark, and other proprietary notices. Copyright and other laws and international treaty provisions protect this software. The law expressly prohibits any modification, redistribution, or reproduction of the software, and such actions could result in severe civil and criminal penalties. The Licensor will seek and support prosecuting violators to the maximum extent possible.

The information provided on Advantage MT in itself does not create a business or professional services relationship between you and The Licensor. Links on Advantage MT may lead to services or web sites not operated by The Licensor. No judgment or warranty is made with respect to such other services or sites and The Licensor does not take any responsibility for such other sites or services. A link to another site or service is not an endorsement of that site or service. Any use you make of the information provided on Advantage MT, or any site or service linked to by Advantage MT, is at your own risk.

Advantage MT and its contents are provided "as is" and The Licensor make no representation or warranty of any kind with respect to Advantage MT or any site or service accessible through Advantage MT. The Licensor expressly disclaims all express and implied warranties including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. In no event will The Licensor be liable to any party for any direct, indirect, incidental, special, exemplary, consequential, or other damages (including, but not limited to, lost profits, business interruption, loss of programs or data, legal fees without limitation) without regard to the form of action and whether in contract, tort, negligence, strict liability, or otherwise, arising out of or in connection with Advantage MT, any content on or accessed through Advantage MT or any site service linked to, or any copying, displaying, or use thereof. The Licensor disclaims all responsibility for any loss, injury, claim, liability, or damage of any kind resulting from, arising out of or any way related to (a) any errors in or omissions from this site and its content, including but not limited to technical inaccuracies and typographical errors, (b) any third party web sites or content therein directly or indirectly accessed through links in Advantage MT, including but not limited to any errors in or omissions therefrom, (c) the unavailability of Advantage MT or any portion thereof, (d) your use of Advantage MT, or (e) your use of any equipment or software in connection with Advantage MT.

The Licensor make no claims concerning the validity or exactness of the information provided through Advantage MT, and will not be held liable for any use, interpretation, or other implementation of said information. The Licensor makes no warranties, express or implied, as to results to be obtained from use of such information and shall have no liability to you or anyone else for the accuracy of the information contained in Advantage MT, or for omissions therein, to the extent this limitation on liability is prohibited and The Licensor’s sole obligation to you for damages shall be limited to £100.00 regardless of the number of claims throughout the duration of use.

Indemnification: You are bound by the terms of use agreement to accept all liability and indemnify us completely regarding any use you decide to make of any information from any of our services including against any and all claims, demands, proceedings, suits and actions, including any related liabilities, obligations, losses, damages, deficiencies, penalties, taxes, levies, fines, judgments, settlements, expenses (including legal and accountants' fees and disbursements) and costs.

Currency rates are based on various publicly available sources and should be used as guidelines only. Rates are not verified as accurate, and actual rates may vary. Currency quotes are not updated every day. The currency information supplied by Advantage MT is believed to be accurate, but The Licensor and/or its suppliers do not warrant or guarantee such accuracy. When using this information for any financial purpose and The Licensor advises you to consult a qualified professional to verify the accuracy of the currency rates. The Licensor and/or its suppliers prohibits to the maximum extent allowable the resale, redistribution, and use of this information for commercial purposes.

You are responsible for complying with the laws of the jurisdiction from which you are accessing Advantage MT and you agree that you will not access or use the information on Advantage MT in violation of such laws. Unless expressly stated otherwise herein, any information submitted by you through Advantage MT shall be deemed non-confidential and non-proprietary. You represent that you have the lawful right to submit such information and agree that you will not submit any information unless you are legally entitled to do so.

License of Your Content to The Licensor. By uploading content to or submitting any materials for use on Advantage MT, you grant (or warrant that the owner of such rights has expressly granted) The Licensor a perpetual, royalty-free, irrevocable, non-exclusive right and license to use, reproduce, modify, adapt, publish, translate, create derivative works from and distribute such materials or incorporate such materials into any form, medium, or technology now known or later developed throughout the universe. The Licensor does not accept unauthorized idea submissions outside of established business relationships. To protect the interests of our current clients and ourselves, we must treat the issue of such submissions with great care. Importantly, without a clear business relationship, The Licensor cannot and does not treat any such submissions in confidence. Accordingly, please do not communicate unauthorized idea submissions to The Licensor through Advantage MT.

Any ideas disclosed to the Licensor outside a pre-existing and documented confidential business relationship are not confidential and The Licensor may therefore develop, use and freely disclose or publish similar ideas without compensating you or accounting to you. The Licensor will make every reasonable effort to return or destroy any unauthorized idea submissions without detailed review of them. However, if a review is necessary at The Licensor’s sole discretion, it will be with the understanding that The Licensor assumes no obligation to protect the confidentiality of your idea or compensate you for its disclosure or use. By submitting an idea or other detailed submission to The Licensor through Advantage MT, you agree to be bound by the terms of this stated policy.

Policy on Unsolicited Commercial Email. The Licensor do not authorize the use of Advantage MT for purpose of gathering information for or transmitting unsolicited bulk commercial email over the Internet to Listees or other third parties. Internet email sent to or through The Licensor’s computer systems or to Listees or other third parties containing invalid or forged headers, invalid or non-existent domain names or other deceptive addressing is deemed counterfeit; the sending or attempt to send counterfeit email to or through The Licensor’s computer systems is strictly prohibited. Email that is relayed to or through The Licensor’s computer systems from a third party’s mail servers without permission of such third party, or which employs a similar device to hide the real source of the email is also strictly prohibited. The Licensor prohibits anyone from sending email to or through its computer systems that violates these Terms and Conditions of Use. The Licensor prohibits the harvesting of email addresses from Advantage MT for the purpose of sending unsolicited bulk commercial email.

Postings. You agree not to post, publish, upload or distribute in the interactive areas on Advantage MT any messages, data, information, text, graphics, links or other material (“Postings”) which are unlawful or abusive in any way, including but not limited to any Postings that are defamatory, pornographic, obscene, threatening, invasive of privacy or publicity rights, inclusive of hate speech, or would constitute or encourage a criminal offense, violate the rights of any party, or give rise to liability or violate any local, state, federal or international law, or the regulations of the any securities and exchange commission, any rules of any securities exchange such as the London Stock Exchange or the NASDAQ, either intentionally or unintentionally. The Licensor may delete your Posting at any time for any reason without permission from you. Participants shall not misrepresent their identity or their affiliation with any person or entity.

Linking to Advantage MT. You may provide links only to the homepage of Advantage MT, provided (a) you do not remove or obscure, by framing or otherwise, advertisements, the copyright notice, or other notices on Advantage MT, (b) you give The Licensor notice of such link by sending an e-mail to support@mediaplusint.com and (c) you discontinue providing links to Advantage MT immediately upon request by The Licensor. If you wish to provide links to a section within Advantage MT, you should forward your request to The Licensor at advantage@mediaplusint.com.

Errors and Corrections. The Licensor does not represent or warrant that Advantage MT will be error-free, free of viruses or other harmful components, or that defects will be corrected. The Licensor do not warrant or represent that the information available on or through Advantage MT will be correct, accurate, timely, or otherwise reliable. The Licensor may make improvements and/or changes to its features, functionality or content of Advantage MT at any time.

Unlawful Activity. The Licensor reserve the right to investigate complaints or reported violations of our Terms and Conditions of Use and to take any action we deem appropriate, including but not limited to, reporting any suspected unlawful activity to law enforcement officials, regulators, or other third parties and disclosing any information necessary or appropriate to such persons or entities relating to your profiles, e-mail addresses, usage history, posted materials, IP addresses and traffic information.

Indemnification. You are solely liable for any content, messages or other information you transmit, provide or upload to Advantage MT. You agree to indemnify and hold harmless The Licensor from any third party claim, action, demand, loss, or damages (including lawyers fees and costs) arising out of or relating to your violation of these Terms and Conditions of Use, your use of Advantage MT, or your violation of any rights of a third party.

Remedies for Violations. The Licensor reserve the right to seek all remedies available at law and in equity for violations of these Terms and Conditions of Use, including but not limited to the right to block access from a particular Internet address to any of The Licensor applications, web sites and their features.

Privacy. Your use of Advantage MT is also subject to The Licensor’s Privacy Policy, which you can access from the footer of the home page.

Severability of Provisions. These Terms and Conditions of Use incorporate by reference all notices and disclaimers contained on Advantage MT and constitute the entire agreement between you and The Licensor with respect to access to and use of Advantage MT. If any provision of these Terms and Conditions of Use is found unlawful, void or unenforceable, then that provision shall be deemed severable from the remaining provisions and shall not affect their validity and enforceability.

Modifications to Terms of Use. The Licensor reserve the right to change these Terms and Conditions of Use at any time. Updated versions of the Terms and Conditions of Use will appear on Advantage MT and are effective immediately. You are responsible for regularly reviewing the Terms and Conditions of Use. Continued use of Advantage MT after any such changes constitutes your consent to such changes.

The Licensor is registered in Delaware, United States and you agree that these terms of use and any legal action or proceeding relating to Advantage MT shall be governed by the laws of Delaware and the United States without reference to its choice of law rules. If you attempt to bring any legal proceedings against The Licensor you specifically acknowledge that The Licensor is free to choose the jurisdiction of our preference as to where such action against us may be held. As you have agreed by using Advantage MT to choose the laws of Delaware and the United States to govern any such proceedings, we will probably choose to defend any such action in Delaware and the United States and we can make this decision entirely as it suits us, without regard to where in the world you are located, or from where in the world you visited Advantage MT.

Media Plus LLC, Advantage MT, Advantage Explorer, Advantage Reports are trademarks owned by The Licensor, both in the United States and many countries around the world.
